Kimberley advises leading Australian and international clients on high-profile Australian and cross-border corporate transactions, specialising in public and private mergers and acquisitions. She has extensive experience in takeovers, schemes of arrangement, private mergers and acquisitions, distressed transactions, minority investments, and other structured investments across a broad range of sectors. In addition, Kimberley regularly advises boards, major shareholders and senior executives on directors’ duties, corporate governance, the ASX Listing Rules and wider corporate and securities-law obligations.

Kimberley's expertise is supported by frequent engagement with Australia's key regulators - including the Australian Securities and Investments Commission, the ASX, the Takeovers Panel and the Foreign Investment Review Board, providing her an exceptional understanding of the country's corporate regulatory landscape.

  • Brookfield: Advised on the dual track disposal (simultaneous IPO and trade sale auction) of its financial services and asset management business, La Trobe Financial, valued at approximately $3 billion.

  • InvoCare Limited: Advised on its acquisition by TPG Capital by way of scheme of arrangement for $1.8 billion.

  • Uniti Group Limited: Advised on its acquisition by the consortium led by HRL Morrison & Co. and Brookfield Infrastructure Partners by way of scheme of arrangement for $3.4 billion.

  • Dye & Durham Corporation: Advised on its proposed acquisition of Link Administration Holdings, pursuant to a scheme of arrangement for $2.9 billion and subsequent proposed acquisition of Link Administration Holding's Corporate Markets and Banking and Credit Management business for $1.27 billion.

  • Blackstone: Advised funds managed by Blackstone Energy Partners on its $400 million strategic investment in Xpansiv Limited, a premier market-infrastructure platform for global carbon and environmental commodities.

  • Ares Management Corporation: Advised Ares Management Corporation on its investment in Windlab Limited, a developer of renewable energy projects in Australia, alongside Federation Asset Management.

  • Baring Private Equity Asia: Advised SAI Global, a portfolio company of Baring Private Equity Asia, on the acquisition of its Assurance and Standards business to UK-listed Intertek Group plc, for $855 million.

  • HelloFresh S.E.: Advised on its acquisition of Youfoodz Holdings Limited by way of scheme of arrangement for a cash consideration of approximately $125.3 million.

  • First Sentier Investors: Advised on its bid for Geelong Port, Victoria's second largest port valued at $1.1 billion.

  • DraftKings: Advised DraftKings on its proposed acquisition of ASX-listed Pointsbet Holdings Limited's United States business by way of ASX shareholder vote for $283 million.

  • Mitratech Holdings Inc: Advised on its proposed acquisition of Damstra Holdings Limited by way of scheme of arrangement for approximately $92 million.

  • Blackmores: Advised Marcus Blackmore in connection with Japanese drinks giant Kirin Holdings Co Ltd's acquisition of ASX-listed Blackmores Limited by way of scheme of arrangement for $1.8 billion.

  • Ernst and Young Australia: Advised Ernst and Young Australia on the proposed split of its consulting and audit businesses, as part of a worldwide separation of the consulting and audit businesses of EY member firms globally and the ultimate listing of the global consulting business on a recognised stock exchange.
