Overview

A leading finance lawyer specialising in domestic and cross-border corporate finance transactions with a focus on acquisition finance and leveraged buyouts, IPO financings, large-scale corporate syndicated lending, mezzanine financing and complex secured lending transactions, including “unitranche”, holdco PIK and TLB financings by local and international credit funds. Alex also advises corporate borrowers and financiers in relation to distressed loans, corporate restructures and turnarounds.

Alex is the National Practice Group Leader of the Banking & Financial Services team.

Notable Work
  • Blackstone / Crown: Advised Blackstone on the funding of its acquisition of Crown Resorts Limited, via scheme of arrangement. The debt funding comprised a unitranche structure involving $5.4 billion senior secured term debt and a $500 million super senior revolving credit facility.
  • Blackstone / Xpansiv: Advised Blackstone on the financing aspects of its strategic investment in Xpansiv, the world's premier platform for global carbon/environmental commodities.
  • Goldman Sachs / AUB: Acted for Goldman Sachs as sole mandated lead arranger, underwriter and bookrunner on the acquisition financing supporting AUB Group Limited's acquisition of Tyser's, a leading Lloyd's wholesale broker for GBP 500 million.
  • Permira / I-Med: Alex acted for Permira in relation to its $1.3bn leveraged finance buyout of I-Med from Swedish firm EQT on a "certain funds", senior secured basis, fully underwritten by Goldman Sachs, HSBC, SMBC, Credit Agricole CIB, Natixis and ING.
  • Australian Technology Innovators (ATI): Advised ATI on its inaugural $350 million $A Term Loan B raising. ATI owns two leading Australian technology companies, InfoTrack and LEAP Legal Software. At the time this transaction was the first ever stand-alone domestic Term Loan B deal for a corporate borrower which is both Australian-dollar denominated and also governed by Australian law. It was shortlisted as Debt Market Deal of the Year in the Australasian Law Awards.
  • REA Group (realestate.com.au): Acted for National Australia Bank Limited as mandated lead arranger and bookrunner in relation to the financing of REA's acquisition of Mortgage Choice.
  • Seven West Media Limited: Alex acted as Lenders' counsel in relation to Seven's syndicated financing, including to support its acquisition of Prime Media Group Limited.
  • SG Fleet Group Limited / Leaseplan: Acted for SG Fleet on its acquisition of Leaseplan. Using a funding package of traditional acquisition finance debt combined with securitisation warehouse funding (together with a concurrent non-renounceable Entitlement Offer) was novel in its approach, complexity and implementation. The transaction won the Best Finance Deal (AU/NZ) at the FinanceAsia Achievement Awards.
