Clayton Utz has advised Optus on an agreement for the sale and licence-back of around 340 mobile tower and rooftop sites to leading Australian digital infrastructure operator Waveconn.

The transaction remains subject to all relevant government and customary regulatory approvals.

The arrangement provides that Optus will retain full ownership and operational control of all active network equipment with Waveconn acquiring the passive tower and rooftop infrastructure.

Partners Joel von Thien and Hugh Brolsma, alongside Senior Associate Ankita Choudhary, headed the firm's multi-disciplinary team.

The core team had key support from special counsel Sally Pierce and lawyer Martin Dagher (Advisory), partner Kirsten Webb and special counsel Doug Thompson (Competition), partners Andrew Steele and Vicki Aron and senior associate Stefanie Cheong (Real Estate), partner Alex Schlosser and senior associate Andrew Jackson (Banking & Financial Services), and partners Katie Higgins (Restructuring & Insolvency), Tim Webb (IP & Technology) and John Dieckmann (Projects).

Joel von Thien commented:

"On behalf of the Clayton Utz team, it was a pleasure to support Optus in this strategic transaction which allows Optus unlock capital for future investment and enhance customer experience."
