Clayton Utz has advised Duxton Farms (ASX:DBF) on its acquisition of four diversified agricultural businesses and capital raising.
Duxton Farms is an Australian agricultural investment company focused on owning and operating large-scale, sustainable farming enterprises throughout Australia, with a diversified portfolio spanning broadacre cropping, livestock and mixed farming assets. The completion of the strategic merger accelerated Duxton Farms' strategic objective of expanding the size and scope of its asset portfolio, providing greater access to strategic growth opportunities and broaden its geographic exposure to establish one of Australia’s most significant ASX-listed diversified agricultural portfolios.
The acquisitions were carried out through multiple contemporaneous inter-conditional schemes of arrangement and share purchase agreements alongside a capital raising.
Corporate partners Stuart Byrne and Jonathan Algar led the Clayton Utz team with support from senior associates Laura van Stekelenburg, Kwan Leung and lawyer Tessa Murray.
Mr Byrne said that the transaction is a significant milestone for Duxton Farms.
