Overview

Sam is a Special Counsel in the Corporate, M&A and Capital Markets team at Clayton Utz. His expertise covers a broad range of transactions, including Australian and cross-border mergers and acquisitions, takeovers and corporate structuring, with a focus on public company mergers and acquisitions.

He has extensive experience running large and complex transactions as well as advising major shareholders and boards of publicly listed companies.

He regularly advises on Australian corporate law, including directors' and officers' responsibilities and duties and ASX Listing Rule issues and has had considerable dealings with Government and other regulatory bodies, including the Australian Securities & Investments Commission, the Foreign Investment Review Board, ASX and the Takeovers Panel.

In addition to his experience working at Clayton Utz (Perth and Sydney), Sam spent almost two years working at Freshfields in Singapore.

Notable Work

Avid: Advising AVID Property Group on its proposal to acquire AVJennings by way of scheme of arrangement for approximately $370 million.
Blackstone: Advised Blackstone on its acquisition of Crown Resorts Limited by way of scheme of arrangement for $8.9 billion.
Dave and Busters: Advised U.S. entertainment business Dave and Busters on its acquisition of Ardent Leisure's Main Event business for $1.1 billion.
Investcorp: Advised Investcorp on its bid for Bigtincan Holdings Limited by way of scheme of arrangement for approximately $430 million.
Mandalay Resources: Advising TSX-listed Mandalay Resources on its merger with ASX-listed Alkane Resources in an all-share transaction valued at ~$1 billion. 
Myer:

  • Advised Myer on its merger with Premier Investment Limited's Apparel Brands business for approximately $850 million.

  • Advising Myer and its directors in addressing their duties and responsibilities in relation to strategic governance issues. 

PAG: Advised PAG on its acquisition of Australia-based aviation company, PTB Group, by way of scheme of arrangement for $200 million.
Tianqi: Assisted on Tianqi Lithium Corporation's lithium joint venture with ASX-listed IGO Limited, with IGO's investment valued at approximately $1.9 billion.
Asia Partners: Advised Singapore-based growth equity firm Asia Partners on its acquisition of Domino's Pizza Indonesia. *
Growtheum Capital Partners: Assisted Singapore-based private equity firm Growtheum Capital Partners on its approximately US$100 million investment in Vietnam’s International Dairy Products JSC.*
Zurich Insurance: Assisted Zurich Insurance on its US$488 million acquisition of a controlling stake in India’s Kotak General Insurance.*
