Overview

Chris takes a thoughtful and practical approach to his work, delivering strong commercial outcomes for his clients. Chris enjoys working collaboratively to understand his clients’ specific business objectives and tailoring his approach to assist them to achieve their commercial and strategic goals.

Chris specialises in fundraising and both public and private M&A. He has a broad range of experience with domestic and cross-border transactions including schemes of arrangements, takeovers, demergers, share and asset acquisitions, initial public offerings, backdoor listings, placements, rights issues and securities purchase plans.

In addition to his transactional experience, Chris also advises on general corporate matters including in relation to Corporations Act and ASX Listing Rules compliance, and continuous and periodic disclosure obligations. Chris was previously a listings adviser with the ASX and regularly assists mining and resource clients in preparing ASX and JORC compliant announcements, including in relation to technical studies, reserve and resource estimates and general exploration results.

  • * NexGen Energy Limited: in relation to its ASX listing, secondary raises, including a A$1 billion placement, and ongoing compliance work.

  • * Barrenjoey, Argonaut and Morgans: as joint lead managers in respect of BMC Minerals' A$100 million initial public offering, ASX listing, and concurrent block trade.

  • * African Gold Limited: in relation to its acquisition by Montage Gold Corp via a scheme of arrangement.

  • * Aurumin Limited: in relation to its acquisition by Brightstar Resources Limited via a scheme of arrangement.

  • * Bastion Mining Pte. Ltd: on its off-market takeover of Xanadu Mines Limited involving a $17 million pre-bid placement and navigating Xanadu's 19.9% shareholder and joint venture partner, Zijin Mining Group Co.

  • * Leeuwin Metals Limited: in relation to its acquisition of the Marda Gold Project from Ramelius Resources Limited.

  • * Civmec Limited: in relation to its re-domiciliation from Singapore to Australian and re-compliance listing on ASX.

  • * Initial public offerings and ASX listings by AIC Resources Limited, Constellation Resources Limited and Sante Fe Minerals Limited.

  • * Global Infrastructure Partners: in relation to its US$2.5 billion acquisition of an interest in Shell's Queensland Curtis LNG common facilities and US$750 million investment into a joint venture with TotalEnergies in relation to TotalEnergies' interest in the Gladstone LNG Project’s downstream infrastructure facilities.

  • * EIG Partners: in relation to its proposed acquisition of a 10% interest in APLNG from Origin Energy.

  • * Advised a consortium comprising Quantem and Viva Energy on its proposed acquisition of the Ixom business (water treatment and chemical distribution) from the Keppel Group.
