Clayton Utz advising Infosys on Versent Group joint venture with Telstra

Clayton Utz is acting for Infosys Limited (NYSE:INFY) on its agreement to acquire a 75% interest in the Versent Group, with Telstra Group Ltd (ASX: TLS) retaining a 25% interest in that business. The value of the agreement is $233 million, comprised of a $175 million upfront payment with additional payments subject to performance and other conditions.

The Versent Group is a leading cloud and digital transformation solutions provider, harnessing a team of 650 engineers, advisors, strategists spread across Australia.

The transaction was led by Clayton Utz partners Walid Sukari and Samy Mansour, alongside special counsel Mariam Azzo, IP& Technology senior associate Alexander Horder and lawyers Lauren Parnaby, Cooper Greenberg, Amel Saeed, Lauren Judge and James Yuan.

The Infosys in-house legal team advising on the acquisition included Inderpreet Sawhney, Rakesh Udupi, Abhishek Sharma, Ishan Kushwaha and Vandana Tansukhani.
