Media release: Clayton Utz advising Bhagwan Marine on its acquisition of Riverside Marine
In a transaction announced to the market today, Clayton Utz is advising Bhagwan Marine Limited (ASX: BWN), Australia's largest listed marine solutions company for the offshore energy, subsea, ports & inshore and defence sectors on its proposed acquisition of Riverside Marine Holdings Pty Ltd, for an enterprise value of up to $130 million.
Corporate partners Mark Paganin and Stephen Neale are leading the firm's team together with senior associates William Davies and Victoria Bandurski, with key support from lawyers Imogen Farmer and Sabrina Bullock. Other core team members include partner Anna Casellas and lawyer Sally Gilfillan (Workplace Relations, Employment and Safety), partner David Gerber and senior associate Andrew McNair (W&I Insurance), and partner Jonathan Donald and senior associate Alex Melara (Tax).
Clayton Utz is also advising Bhagwan in relation to its $30 million equity raising to part fund the acquisition. The equity raising involves a two-tranche placement to institutional and sophisticated investors as well as directors and related parties.
Clayton Utz's role in advising Bhagwan follows the firm acting for Bhagwan on its IPO and ASX listing in 2024.
