Overview
David is a Special Counsel in the M&A, Corporate and Capital Markets team who advises investors, fund managers and government clients on market-leading infrastructure and real estate projects.
David has extensive experience advising clients on M&A, divestments, equity investments, project developments, joint ventures and other complex issues.
In addition to his significant private sector experience, David is also a key legal adviser to the NSW Government, providing critical guidance on highly complex infrastructure projects within the healthcare sector.
Notable Work
- Invesco Real Estate: Advised on its entry into a strategic partnership with Stockland to support the delivery of approximately 1,190 homes across three land lease communities, which will engage in ~$760 million worth of development across the three initial communities.
- Dye & Durham:
- Advised Dye & Durham on its bid for ordinary shares, management shares and shareholder loans in PEXA in the dual track process managed by Macquarie, UBS and Flagstaff.
- Advised Dye & Durham on its proposed A$2.9 billion takeover of Link Group by way of scheme of arrangement.
- Advised Dye & Durham Corporation on its proposed acquisition of Link Administration Holding's Corporate Markets and Banking and Credit Management business for $1.27 billion.
- Realterm: Advised on the formation of a new joint venture with a foreign investor to invest in industrial real estate assets in Australia.
- NSW Treasury Corporation: Advised NSW Treasury Corporation on its investment in a $1.1b fund targeting various listed and unlisted property investment opportunities in Australia and other jurisdictions.
- EG Funds Management:
- Advised EG Funds Management on the establishment of a $400m joint venture with GIC focusing on revitalising commercial real estate assets and neighbourhoods in Sydney and Melbourne.
- Advised EG Funds Management on the establishment of a new $125m open-ended fund with Clean Energy Finance Corporation, Uniting Financial Services and Deakin University targeting underserviced parts of the office and industrial markets.
- Sydney Children’s Hospital: Advised on the establishment of the new A$658m Minderoo Children's Comprehensive Cancer Centre in Randwick, the first children's comprehensive cancer centre in Australia.
- Sydney Local Health District: Advised on the construction and establishment of the A$650m Sydney Biomedical Accelerator in Camperdown, a first-in-Australia, world-class biomedical research innovation precinct tackling some of the world's most complex healthcare challenges, such as cancer and neurodegenerative disease.
- NSW Ministry of Health: Advised the NSW Ministry of Health on the governance and performance of various NSW Hospital PPPs.
