Dave specialises in advising ASX-listed entities and those seeking to list on the ASX. Drawing on his extensive experience as a former Principal Adviser in ASX’s Listings Compliance division, Dave provides strategic advice on equity capital markets transactions, head office advisory matters and governance. His expertise includes navigating ASX and ASIC compliance requirements for issuers (both domestic and foreign), underwriters and other stakeholders.
With extensive knowledge of the JORC Code 2012, Dave is leading the legal review of the current update to the JORC Code 2012. He regularly advises exploration, development and mining companies on public disclosures and compliance with the JORC Code.
* Liontown: on its A$372m placement and SPP (2025) and US$250m convertible note (2024).
* NexGen: on its A$1 billion placement (2025) and A$250 million placement (2024).
* PMET Resources: on its ASX dual listing and over C$300 million in secondary capital raisings, including capital raisings by way of Canadian charity flow-through offers and a US$48m strategic investment with associated offtake with Volkswagen to develop PMET’s world class Shaakichiuwaanaan Project.
* Hadrian Capital Partners: on its A$687 million block trade in Capstone Copper.
* Barrenjoey, Argonaut and Morgans: in their capacity as joint lead managers in respect of BMC Minerals' A$100 million initial public offering and ASX listing.
* Newmont: in relation to the ASX aspects of the sale of Newmont’s Telfer mining operation in WA and its 70% interest in the Havieron project to Greatland Gold, including the A$440 million sell-down by Newmont in 2025 and A$200 million call option exercise by Wyloo in 2026.
* Livent: on the ASX aspects of its merger with Allkem to form a A$15.7 billion global lithium chemicals producer.
* Minerals 260: on its acquisition of the Bullabulling Gold Project, and associated A$220 million capital raising and ASX re-compliance listing.
* New Century Resources: in respect of its ASX re-compliance listing following the acquisition of the Century Zinc mine, and over A$250 million in secondary capital raisings.
* Core Lithium: to raise over A$350 million via secondary capital raisings.
* Civmec: on its redomicile from Singapore to Australia.
Numerous IPOs and secondary capital raisings for domestic and foreign exploration and development companies, including Golden Horse Minerals, Podium Minerals, Talga, Mincor, Warrego, Benz Mining, Anax Metals, Albion Resources, Rubix Resources and Torrens Mining.
