Media release: Clayton Utz advises Queensland Teachers' Union Health Fund on its successful merger with Teachers Federation Health

TUH and Teachers Health are both not-for-profit restricted access private health insurers with long standing connections to their respective teachers' unions.

The transaction was implemented by way of an amalgamation scheme of arrangement, involving the transfer of TUH's assets, property and liabilities to Teachers Health. The scheme became effective on 1 July 2025. Notably, this transaction marks the first time a merger of both the corporate entities and registered private insurance health funds has been implemented via an amalgamation scheme.

Clayton Utz Corporate legal consultant Jim Peterson and senior associate Lisa Houston led the firm's team alongside lawyer Natalie Harawira. The cross-practice deal included key support from litigation team partner Jonathan Slater, senior associate Dilip Ramaswamy and lawyer Jarrod Morton-Hoffman.

Commenting on the transaction, Mr Peterson emphasised its strategic importance for both funds.

"While TUH and Teachers Health were observably both financially strong and well positioned in their market, the private health insurance industry undergone significant changes over the past decade. Against this background, TUH made the strategic decision to negotiate from a position of strength," he said.

"The merger has brought together two well-capitalised, healthy funds, reducing overall risk and positioning the combined business for long-term sustainability and growth. It enables the funds to proactively address industry challenges while strengthening their combined operating platform for the future. It was a pleasure to assist the TUH team with this landmark transaction," Mr Peterson added.
