Mergers & Acquisitions

  • Gebr. Knauf KG / Project Bell: Advised the German headquartered global building materials manufacturer Gebr. Knauf KG in relation to: (a) their US $1.015b buy out of Boral’s 50% share in the former USG Boral joint venture (which operates in Aus, NZ & many other jurisdictions throughout Asia Pac & the Middle East; (b) the disposal of their Australian plasterboard & ceilings businesses; and (c) an internal restructure of the Australian USGB business following the buyout from Boral.
  • Westpac / Project Spectre: Advised Westpac Banking Corporation on the proposed sale of motor vehicle dealer finance and novated leasing business to Angle Finance (of portfolio company of Cerberus Capital Management, L.P.). Completion is expected to occur by the end of 2021, subject to receipt of requsite regulatory approvals etc.
  • Songtradr / Song Zu acquisition: Advised the US incorporated Songtradr, Inc. on their successful acquisition of the Song Zu music and sound design business based in Australia and Singapore.
  • Salmat Limited / Strategic review: Advised the ASX listed Salmat in relation to the disposal of its managed operations and outsourcing business based in Australia and the Philippines and the subsequent wind down of Salmat.
  • Bayer Australia / Project Cahill: Advised the German headquartered multinational pharmaceutical and life sciences company, Bayer, on its disposal of a number of product lines in Australia and New Zealand.
  • CCMP Capital / Project Blue: Advised US private equity house CCMP Capital on the Australian aspects of the global acquisition of the BGIS operations and maintenance business by a number of CCMP managed funds.
  • Live Nation/Ticketmaster / Project Exit: Advised Ticketmaster (a subsidiary of the US global entertainment group, Live Nation) in respect of its successful acquisition of Moshtix in Australia.
  • CGG / acquisition of geoscience division of Fugro N.V.: Advised the French-based geophysical services company, CGG on the Australian aspects of its global acquisition of the geoscience division of Fugro N.V. (valued at €1.2 billion).
  • AMP Capital / sale of interest in aged care portfolio: Advised AMP Capital in respect of a $135m capital raising, in respect of its aged care investment portfolio and the sale of a 50% share in 6 separate investment vehicles to a Singaporean buyer (including a complex internal restructure prior to completion).
  • National Rugby League (NRL): Advised the NRL, which administers Australia’s premier professional sporting competition in relation to a number of highly publicised acquisitions and corporate restructures of various member organisations.
  • Opal aged care facilities: Advised Opal Aged Care in relation to the disposal and acquisition of various aged care facilities throughout Australia.
  • TAHL shareholders / sale of hotel portfolio: Advised the shareholders of Tourism Asset Holdings Limited in relation to the sale of what was then Australia's largest portfolio of triple-net leased hotels to the Abu Dhabi Investment Authority, with a total enterprise value of approximately $800m.

  • CHAMP Ventures: Advised private equity firm CHAMP Ventures, in the establishment of their CV7 Investment Fund which comprised a venture capital limited partnership and 2 stapled investment trusts (combined value of the fund was $500m).
  • AMP Capital: Advised AMP Capital regarding the preparation of an asset management agreement in relation to a fund with a combined asset value of approximately $600m.
  • AMP Capital: Advised AMP Capital in respect of a $135m capital raising, in respect of its aged care investment portfolio and the sale of a 50% share in 6 separate investment vehicles to a Singaporean buyer (including a complex internal restructure prior to completion).
