Overview

Kate advises both listed and unlisted clients on major corporate transactions, equity capital markets transactions, mergers and acquisitions, corporate structuring, general corporate law and regulatory issues.

She has broad experience in equity capital markets transactions, acting for issuers, underwriters and joint lead managers in initial public offerings, entitlement offers, placements and share purchase plans.

Her work on public and private M&A transactions across various industries includes drafting and negotiating transaction documents, as well as advising on corporate structuring and equity funding arrangements, including on major infrastructure projects.

Kate also advises businesses on a range of general corporate law matters, including governance and regulatory compliance (such as under the Corporations Act and the ASX Listing Rules).

Notable Work
  • Openpay Group: Advised Buy Now Pay Later provider Openpay Group on its IPO and ASX listing with a market capitalisation on listing of $150m. Kate also advised Openpay Group on a number of subsequent placements and share purchase plan offers.
  • Conrad Asia Energy: Advised energy company Conrad Asia Energy on its IPO and ASX listing, raising $45 million and opening with a market capitalisation of approximately $233m.
  • Orion Minerals: Acted for Orion on a significant number of placements and share purchase plans, and convertible note issues.
  • Qualitas: Advised the joint lead managers (Macquarie Capital (Australia), Canaccord Genuity (Australia) and E&P Corporate Advisory) on Australian alternative real estate investment manager, Qualitas' $335m IPO and ASX listing.
  • New Era Technology: Advised global managed services and technology solutions provider, New Era Technology, on its acquisitions of 4Logic, CrossPoint Technology Solutions, OAS Computers, and Vintek.
  • Interactive: Advised Australian end-to-end IT services provider, Interactive, on its acquisition of Slipstream Cyber Security.
  • High Capacity Rolling Stock PPP: Advised the successful Plenary-led consortium on the equity, corporate structuring and Foreign Investment Review Board approval aspects of the $2bn project.
  • New Footscray Hospital – Victoria: Advised Plenary Health as the successful consortium on corporate structuring and equity funding arrangements and Foreign Investment Review Board approval requirements for the $1.5bn New Footscray Hospital.
  • Melbourne Arts Precinct Transformation (MAPT) Project: Advised the Victorian State Government on corporate governance and structuring for Federation Square, and its transfer to a newly-established state business corporation as part of the MAPT Project.
  • InfraBuild: Advised InfraBuild Australia, part of the GFG Alliance, on its $300m high yield bond offering.Kate also advises InfraBuild on a range of corporate structuring and governance matters.
