Media release: Clayton Utz advises Sekisui Chemical Co., Ltd. on its proposed acquisition of a majority stake in Ausbuild Group

14 Sep 2026

Clayton Utz is pleased to have advised Tokyo Stock Exchange-listed Sekisui Chemical Co., Ltd. (Sekisui Chemical), through its Australian subsidiary, on its approximately AU$335 million proposed acquisition of a 51% stake in the Ausbuild Group, a residential land development and home building business based in Brisbane. The parties executed the transaction documents on 10 September 2026.

The transaction will mark Sekisui Chemical's full-scale entry into the Australian housing market. Sekisui Chemical will leverage Ausbuild's established development land holdings and construction systems, alongside its own modular construction methods to expand housing supply in Queensland.

With the Queensland housing market facing higher demand ahead of the Brisbane 2032 Summer Olympic Games, alongside rapid population growth, Sekisui Chemical's industrialised technologies will continue expanding local supply capability.

The Clayton Utz team has been led by Partner Hiroyuki Kano, with key support from Special Counsel Shigeki Yamaura, working alongside lawyers Yuki Sugawa, Natalie Harawira and Shuhei Soga.

Commenting on the transaction, Mr Kano said:

It has been a pleasure to be advising Sekisui Chemical on its first major investment in Australian housing. With market demand growing in Queensland, the partnership with Ausbuild will be well positioned to make a real impact. We congratulate Sekisui Chemical on its entering into this significant transaction and look forward to its continued growth in Australia.

Clayton Utz has worked collaboratively with a leading Japanese law firm Nishimura & Asahi (Gaikokuho Kyodo Jigyo) on this deal.
