CQUniversity: Advised on CQUniversity's merger with Central Queensland Institute of TAFE to create a dual sector university. Jonathan advised on potential structures, means of merger and identifying and assisting in the negotiation of the key commercial and legislative issues necessary to achieve the merger.
 
Liverpool City Council: Jonathan assisted Council to put in place a long term strategic services delivery arrangement with an external supplier. Rather than follow the traditional outsourcing approach to sell off assets to the supplier, retrench staff and have the supplier provide personnel, the supplier has to provide the Council's customer services using a mix of Council resources (both people and assets) and the service provider's intellectual property, personnel and facilities. The arrangement is also structured so that the Council can leverage excess capacity that arises out of more efficient provision of services to provide similar services to other councils.
 
City of Gold Coast: Jonathan advised on two concurrent major technology projects. Jonathan assisted the City with putting in place an integrated cloud based Local Government Platform to replace a number disparate and aging systems. This was done in conjunction with a project to replace the city's IT infrastructure and services with a service based arrangement. Jonathan was involved in the tender process, contract development, contract negotiations and is providing ongoing advice associated with implementation and variations.
 
University of the Sunshine Coast: Jonathan advised USC on a strategic long term relationship with the Moreton Bay Regional Council to establish a new campus on Council owned land. Jonathan advised on the structuring, funding options and agreements with Council and helped negotiate an arrangement which meets the development and growth outcomes of the Council in a manner that is achievable and allows USC to expand in the future to meet its objectives for the region.
 
SunWater: Analysed and advised on the procurement documents the business actually needed and then developed a package of template procurement documents including tender documentation, agreements and user guides. This included construction, IT and general procurement documentation. This project has provided significant useability benefits to SunWater with consistent terms and schedules across its suite of documentation.
 
Queensland Children's Hospital: Advised QCHHS in putting in place long term service arrangements with suppliers to the Lady Cilento Children's Hospital. This included putting in place arrangements to provide for shared services for the collocated hospitals in areas such as ICU, medical imaging, Haemophilia Centre, physiotherapy, haematology, cancer therapy, nuclear medicine, radio pharmaceuticals, and medical and surgery specialties.
 
Stadiums Queensland: Jonathan has advised Stadiums Queensland over a number of years on various commercial arrangements associated with the use of stadiums. This includes management agreements, ticketing agreements, marketing and advertising, event hire arrangements, exclusive supply arrangements, cleaning, sponsorship, maintenance and security.
 
Biopharmaceutical Australia: Assisted Biopharmaceuticals Australia (a wholly owned government entity) in entering into arrangements for the development of a biotherapeutics manufacturing facility in Queensland. This involved advising on the obtaining of grants from the Commonwealth, inter government operational arrangements, leasing and fit out agreements and a service level agreement to allow long term monitoring and input into achieving the objectives for the project. It also includes establishing a grant scheme to assist companies to take advantage of the facility.
 
Sunshine Coast University Private Hospital: Advised Ramsay Health Care on the successful bid for development of the Private Hospital to be co-located within the Sunshine Coast University Hospital precinct. This included co-location of up to 110 public hospital beds. The project required the negotiation of a long term lease, development arrangements, expansion arrangements, car park arrangements and ongoing public hospital service arrangements with the Queensland government. Jonathan assisted Ramsay Health Care with its response to the tender and the development and negotiation of the agreements. He continues to provide ongoing advice to the project.
 
Ipswich City Council: Advised the Council on its project for the redevelopment of Ipswich City Square, the commercial centre of Ipswich. Jonathan developed the legal solution to allow the Council to undertake the activity, prepared tender documentation, funding documentation and statutory approvals to allow the Council to acquire the property, obtain funding to acquire the property and run a tender process to engage a developer for the redevelopment of the site.
 

Department of Transport and Main Roads: Assisted in the establishment of the Queensland Rail statutory authority and the putting in place of ongoing arrangements between the Authority and Queensland Rail Limited to deal with staffing, safety, computer systems, governance and funding.

Blue Sky Private Equity: Jonathan assisted Blue Sky Private Equity to acquire HPS Pharmaceuticals, a business specialising in providing pharmaceutical services to hospitals, oncology clinics, veterinary clinics and correctional services facilities. Jonathan assisted with the due diligence of the business, the development and negotiation of the acquisition documentation and advised on the structuring arrangements necessary to ensure that the acquisition complied with the regulations on pharmacy ownership in each State.

GWA Limited: Jonathan developed the standard template documentation and assists GWA Limited on its manufacturing and distribution arrangements for the supply of its bathroom, kitchen, and door hardware products for distribution throughout Australia and New Zealand. This requires negotiation with manufactures in multiple countries including Taiwan, Switzerland, China, Vietnam, Italy and Malaysia.

This structure involves CQUniversity providing the course materials, marking, supervision and quality control. The other party is responsible for the provision and management of the campus, the delivery of courses, the provision of student services that are campus based and the marketing of the courses for that campus, all in accordance with CQUniversity requirements. Fees are based on performance. This work involved, creating a suite of documentation that allowed the university to carry out due diligence on a number of entities, puts in place a consistent management agreement and provides tools to assist with negotiation of the agreement and its ongoing management.
