Overview

Clayton Barrett has a wide range of experience in corporate and securities law and financial services law. His corporate and securities experience includes takeovers, mergers and acquisitions (public and private), capital raisings, recapitalisations, private equity and venture capital, joint ventures and alliances, corporate structuring, corporate governance and directors' duties. His financial services experience includes licensing and compliance, managed investments, fund structuring and establishment, cross-border investments and funds management.

Clayton has lectured on mergers and acquisitions at FINSIA and the Securities Institute of Australia, and on corporate law at the Queensland University of Technology.

  • Auto & General insurance group: ownership restructure and shareholding arrangements for Australian and South-East Asian insurance businesses, related APRA and foreign investment / Commonwealth Treasurer approvals.
  • Nomura Research Institute: acquisition of ASX-listed IT business solutions provider, ASG Group, by scheme of arrangement ($349m).
  • Morgans Financial: acquisition from CBA of the Commonwealth Advisory financial planning business.
  • Senex Energy Limited: strategic investment by EIG Global Energy Partners, institutional placement ($55m) and accompanying share purchase plan.
  • SFG Australia: reverse takeover by Shadforth Financial of Snowball Financial Group to create SFG Australia ($200m).
  • Navigator Global Investments: acquisition of US fund manager, Lighthouse Investment Partners LLC ($726m), and associated placement and rights issue ($258m). Strategic alliance and investment by Apollo Global Management and related mandatory convertible note (US$75m), option ($250m) and performance rights.
  • Collins Foods Limited: accelerated non-renounceable entitlement offer ($44.1m) to acquire 28 KFC restaurants in Tasmania, South Australia and Western Australia from Yum! Brands Inc ($110.2m). Institutional placement ($54.5m) and share purchase plan ($2m) to acquire 16 KC restaurants in the Netherlands from Yum! Brands Inc (€62.3m).
  • Marley Spoon: accelerated entitlement offer by German-incorporated global subscription-based meal kit provider.
  • Bank of Queensland: sale of credit card portfolio to Citibank ($260m) and related credit card outsourcing and "white-label" arrangements. Capital raisings including rights issues, wholesale capital notes ($150m), convertible preference shares ($300m) and perpetual equity preference shares ($200m).
  • Transpacific Industries Group Limited: recapitalisation and equity investment by Warburg Pincus ($880m) and a number of acquisitions and joint ventures.
