Seema specialises in Australian and international tax and has particular experience in advising on the tax effective structuring of mergers and acquisitions, divestments, property joint ventures and private equity investments, including advising on international tax implications.

Seema has also assisted public sector and private clients on litigation, tax audit and dispute resolution issues, liaising with the Australian Taxation Office on various issues.

ConocoPhillips: Part of a team that advised NYSE listed ConocoPhillips on its arrangements with Santos Limited to acquire ConocoPhillips’ Australia West and East Timorese assets valued at $2.2 billion. Under the terms of the deal, ConocoPhillips sold its Australian and East Timorese assets, with the exception of interest in the Australian Pacific LNG (APLNG) project.

Pacific Equity Partners: Advised on structuring the recent Pacific Equity Partners Secure Assets Fund and also Pacific Equity Partners Fund VI. The Secure Assets Fund is Pacific Equity Partners' first infrastructure focused fund and the investment focus of the fund involved structuring challenges from both an Australian and offshore perspective.

EMR Capital: Advised the EMR mining private equity fund on structuring investments in two Australian mining projects including the structuring of its Golden Grove mine in Western Australia and its more recent acquisition (together with co-investors) of the Kestrel Coal Mine from Rio Tinto ($2.9 billion).

Oaktree Capital: Clayton Utz advised Oaktree on all aspects of this innovative and multijurisdictional deal, which involved a combined debt and equity transaction agreed between Oaktree and Marlin Brands. The deal involved the implementation of new debt facilities provided by various financiers.

Salmat: In conjunction with Clayton Utz mergers and acquisitions specialists, our tax team advised ASX-listed Salmat Limited on the sale of its MicroSourcing business (to Five V Capital) and its catalogue distribution business (to IVE Group LimiteD)

Pacific Equity Partners: Clayton Utz advised PEP on its competitive bid for Campbell Soup Co's international brands portfolio which includes iconic brands Arnott's and Campbell Soup.  PEP is Australia's largest private equity firm.  Jonathan Donald is PEP's longstanding lead tax lawyer.
