Overview

Having spent approximately half of her career working in Australia and the other half working in London, Marni has significant experience working with clients on multi-jurisdictional corporate transactions, international carve-out and integration transactions, M&A and projects.

As a specialist in the energy and resources sector, Marni is well-versed in dealing with the full spectrum of issues that arise in projects in the mining, transport and logistics, energy, oil and gas, wind and water sectors. She advises clients in the energy and mining industries on regulatory issues, the establishment of new projects, the disposal and acquisition of major projects, the establishment of joint venture arrangements, joint operating agreements, farm-in arrangements and royalties.

For most of 2020 Marni acted as the Head of Legal for Anglo Pacific Group PLC, a royalty and streaming company listed in London and Toronto, giving her a heightened understanding of the benefits external legal advisers can provide both to in-house legal and commercial teams.

Marni also has significant experience in advising clients on multi-jurisdictional transactions in the pharmaceutical space.

International Oil and Gas Company: negotiation and preparation of a Joint Operating Agreement for the exploration, development, production and storage of hydrocarbons under European licences.
International Oil and Gas Company: advising in relation to the proposed provision of unconventional gas exploration services, coupled with an option to farm-in to an oil and gas permit in Africa.
International Oil and Gas Company: advising on, and preparing an agreement for, the farm-in of multiple European petroleum licences.
International Oil and Gas Company: advising on arrangements relating to an offshore oil and gas field, including negotiation of a Farm-In Agreement, Joint Operating Agreement and Seismic Data Acquisition Agreements.
International Oil and Gas Company: advising on the joint arrangements in applying for multiple exploration permits in Africa, including negotiation of a Joint Venture Agreement, Technical Operations Agreement and Joint Operating Agreement.
International Oil and Gas Company: advising on its farm-in arrangements and preparing and negotiating a Joint Operating Agreement for one of its Australian petroleum operations.
Australian Oil and Gas Company: advising in relation to the acquisition of coal seam gas fields and the preparation of a Co-ordination Agreement.

Biomass Supply Agreement: advising on, drafting and negotiating a series of long-term biomass supply agreements with European utilities and a market intermediary.
UK Wind Farms: advising on the development of wind farm projects in the United Kingdom, including preparing Joint Venture Agreements.
Australian Electricity Corporation: advising in relation to Customer Connection Contracts, the National Electricity Rules and various energy related contracts.
Marketing Agreement: advising on, negotiating and preparing a Marketing Agreement for products produced in European smelting assets.
Mining Projects: acting for mining companies in Australia in relation to all aspects of mine development and operation including regulatory advice, mining tenement applications and transfers, underlying landholder issues, overlapping tenement issues and native title advice.
Power Plant Acquisition: advising a power utility company on its potential acquisition of a power plant in the United Kingdom.
Middle East Tenement Acquisition: advising on the proposed purchase of an interest in a petroleum field in the Middle East.
Mining Acquisitions: acting for mining companies in Australia and internationally on mining asset acquisitions.
Tank Storage Acquisition: advising on the acquisition of a majority interest in one of the world's largest independent operators of tank storage.
Global Property Management Portfolio: acting for an Asian management fund during an auction process for the acquisition of a global property management portfolio.
Acquisition of interest in a Global Restaurant Chain: advising in relation to the acquisition, including restructuring the existing businesses management arrangements in each of the operations entities globally and on the structure for the roll out of additional restaurants in target jurisdictions.
Acquisition of interest in a Greek Hotel Group: advising on the acquisition of an interest in a Greek hotel group including the restructure of the existing management and operational arrangements.
Hotel Sale: advising on the sale of an independently owned, internationally branded hotel in the UK.

Railway Development: advising an Australian mining company in relation to the proposed development of a railway line, which included the preparation of the documentation necessary to enable third party access to the rail line.
Transport Infrastructure Arrangements: acting for mining companies and rail operators in relation to transport infrastructure arrangements, including the negotiation and preparation of Rail Haulage Agreements and the documentation necessary to allow access to the railways, storage and loading facility agreements and Road Haulage Agreements.
Baxter International Inc: leading the global regulatory team to undertake the regulatory actions required for the separation of its biopharmaceutical business.
Post-Acquisition Pharmaceutical Integration: acting for multiple international pharmaceutical companies in respect of their pharmaceutical regulation integration following multi-jurisdictional acquisitions.
Homecare Contracts: advising on, and negotiating the provisions of, Homecare Contracts for an international pharmaceutical company.
Royalty Deed: advising an international pharmaceutical company on the provisions of a Royalty Deed.
