Clayton Utz advises ERM Power on its successful changes to the Board of Empire Oil & Gas

Perth, 29 November 2013: Clayton Utz has advised ASX-listed ERM Power Limited in respect of its requisition of general meeting of ASX listed Empire Oil & Gas NL and successful changes to the Empire Board, which has resulted in three Empire directors resigning and two new directors proposed by ERM Power being appointed.

The resignations and appointments are in line with the changes sought by ERM Power in its requisition notice lodged with Empire on 27 September 2013 and are part of a settlement agreed between ERM Power and Empire as announced to the ASX on 22 November 2013. The appointment of the two new directors was approved by Empire shareholders at an extraordinary general meeting of Empire on 26 November 2013.
