Trafigura: we advised global commodity giant Trafigura on its acquisition with Puma Energy, of the Australian bitumen assets of BP Australia.
Rolls-Royce Holdings plc: we advised Rolls Royce on the Australian aspects of the sale of its energy gas turbine and compressor business to Siemens for a £785 million cash consideration.
Koch Industries / Goldman Sachs: we advised on the acquisition of Flint Group (Luxembourg) from CVC Capital Partners.
MySale Group: we advised online shopping retailer MySale Group in connection with its £340 million initial public offering and listing on AIM on the London Stock Exchange. This included strategic advice on the options available to the company and founders culminating in a cornerstone investment by Sir Philip Green's Shelton Capital Limited and listing.
Novartis AG: we advised Novartis AG on the ACCC implications of its US$30 billion 3-part inter-conditional transaction with GSK plc. The transaction was part of a major suite of transactions entered into by Novartis AG, GSK plc and Eli Lilly which won Global Competition Review's Matter of the Year 2015.
McGraw-Hill International (UK) Limited: we acted for McGraw-Hill (Standard & Poor's, one of the big three credit rating agencies) in Federal Court of Australia proceedings in connection with ground-breaking litigation brought by certain Local Councils in Australia relating to their purchase of Constant Proportion Debt Obligation (CPDO) notes, known as "Rembrandt" Notes or "Community Income" Notes. The Notes which were arranged by ABN Amro and rated AAA by Standard and Poor's were purchased by the Councils from Local Government Financial Services Pty Limited.
Yara International ASA: we represented Yara International ASA, the world’s largest fertiliser company, in relation to various disputes arising out of alleged financial irregularities within Burrup Fertilisers (of which it owns 35%) with Pankaj and Radhika Oswal (who collectively own 65% of Burrup Fertilisers).
Lufthansa Technik: we acted for Lufthansa Technik on the establishment of its Australian aircraft maintenance joint venture with the Qantas group.
Nexans SA RCS Paris (Nexans): we acted for Nexans in defending high profile proceedings commenced by the Australian competition regulator (the ACCC) in the Federal Court of Australia in relation to allegations of cartel conduct against three international suppliers of particular electrical cables and accessories.
CGG (France): we advised this global geoscience company in respect of its Australian operations, including regulatory compliance in the aviation sector, drafting standard form aircraft lease agreements and providing general transactional and corporate governance advice.
Huhtamaki: we acted for the Finnish Huhtamaki group (one of the world's largest packaging companies) on the acquisition of its Australian operations.
Paul Hartmann Group: we acted for the German medical products company on the acquisition of its Australian operating businesses, involving the staged acquisition of six businesses over a five-year period.
