Background
Andrew Hay practises in our Corporate Advisory area, and has a wide range of experience in corporate and securities law, including insolvency and financial services. His corporate and securities experience includes mergers and acquisitions (private and public), capital raisings, floats and corporate structuring and restructures, international and cross-border transactions, joint ventures, corporate governance and administration, ASX listing rule compliance, executive and employee incentive plans, directors' duties and general corporate advice. Andrew's financial services experience includes licensing and compliance, managed investment schemes, and venture capital arrangements.
Andrew spent almost three years practising as a foreign legal associate with Anderson Mori & Tomotsune in Tokyo, Japan, where he worked on numerous international corporate transactions. Andrew maintains an active interest in business with Japan and heads up Clayton Utz' Japan practice nationally. He has advised a range of Japanese companies on inbound investment into Australia, as well as Australian companies investing into Japan.
