Prepared the standard form lease for the building, including an agreement for lease, fitout/incentive deed and acted on the negotiation and finalisation of these document with tenants including Deloitte Touche Tohmatsu, Blake Dawson Waldron, Deutsche Bank, JP Morgan, Allianz, Barclays Bank, Ferrier Hodgson, Deacons Lawyers and Man Financial.
Caliton Pty Limited and Capital Property Corporation: Acted for Canberra-based developers on the negotiation and sale of Industry House, Civic ACT to AMP Capital Investors as a going concern for $143 million by way of option deed and contract for sale, with completion occurring following the grant of an anchor lease to Department of Industry, Tourism and Resources on completion of the building. Included preparation and negotiation of the option documentation, the contract for sale of land, GST deed to permit recovery by the sellers of GST paid on the incentive given to the anchor tenant.
MacarthurCook Fund Management Limited: Acted on the $23 million acquisition of 38 Akuna Street, Canberra City from JP Morgan / Mirvac Funds Limited. Role included title and lease legal due diligence, negotiation of contract documentation, completion of sale and subsequent retailing leasing and licensing issues in relation to same, rectification of GFA restriction error in Crown Lease.
Mirvac Funds Limited: Acted on the $71 million sale of Lovett Tower in the Canberra suburb of Phillip by Mirvac Funds Limited to Cromwell Properties. Role included preparation of contract for sale, vendor due diligence, negotiation of the contract and completion of sale, dealing with the surrender of parts of the building by Department of Families, Communities and Indigenous Affairs, take-up of space by Department of Veterans Affairs and assignment of refurbishment works obligations to Cromwell with cost reimbursement by way of retention of purchase moneys.
TransGrid: Acted on the NSW Wollar-Wellington 330kV electricity transmission line project for NSW statutory corporation TransGrid Role has included preparation of the pro forma easement acquisition option agreements and negotiated the terms of this document with 75 landowners and/or their lawyers, prepared proposed acquisition notice under the Act, drafted caveats and withdrawals of caveats and registered transfers granting easement as well as preparing and completing contracts for the acquisition of substation sites and compensatory habitat (as required under the conditions of approval to the project).
