Retail company: For a retail company, Amy co-ordinated a combined initial public offering and vendor sell-down including drafting the prospectus, implementing a greenshoe arrangement, and obtaining ASIC approval for brokers to conduct market stabilisation arrangements following the company's A$295 million listing.
Government agencies: Amy co-ordinated negotiations between a state and local government owned entity and five local councils for the establishment of an incorporated joint venture company. Amy also attended to the drafting of a shareholders agreement and constitution for the incorporated joint venture.
Government agencies: Amy drafted a share sale agreement, co-ordinated negotiations and completed settlement of the sale to the State of an incorporated joint venture company owned by a State and local government owned entity and five local councils, a A$21 million transaction.
Government Agencies: Amy advised the State and a government-owned special purpose vehicle on all aspects of the sale of a special purpose vehicle to the private sector by way of a competitive bid process. This included the preparation of all competitive bid process documentation (three stages), the preparation of and co-ordination of access to, an online data room and the drafting of sale agreements.
