Agrium Inc.: advised on its acquisition of AWB Limited for over A$1 billion.
Anatolia Minerals Development Limited: advised on its merger with Avoca Resources Limited, valuing the merged entity at around US$2 billion.
Australia Pacific LNG Project: advising ConocoPhillips, Origin Energy and Australia Pacific LNG Pty Limited on this $35 billion project to liquefy coal seam gas for export markets, at a proposed facility to be located at Gladstone in Queensland. This included advising in relation to the agreement to issue a 15% interest in the project to Sinopec in conjunction with Sinopec entering into an agreement to purchase 4.3 million tonnes per annum of LNG from the project for 20 years.
Barrick Gold Corporation: advised on its approximately A$7.1 billion bid to acquire ASX and TSX listed Equinox Minerals Limited - one of the largest resources transactions of recent years.
Fortescue Metals Group Ltd: advising on its $7 billion Pilbara iron ore expansion and its $3 billion Christmas Creek mining contract (Australia's largest ever).
Kingsgate Consolidated Limited: advised on its agreed merger with Dominion Mining Limited, valuing the merged entity at approximately A$1.2 billion.
Macquarie Generation: advising on the power sale agreement for the Tomago smelter. This is the largest ever power sale agreement in New South Wales, for over 8 million megawatt-hours per annum of electric power under a long-term contract continuing until 2028.
Noble Group: advised on all recent East Coast acquisitions and joint venture arrangements, including asset vend-in and takeover transactions that would have created Australia’s largest independent coal miner in Macarthur Coal with a market capitalisation of approximately $3.5 billion; the $1 billion hostile takeover of ASX listed Gloucester Coal Limited; the $750 million related party vend-in of Middlemount joint venture arrangements; Noble’s cornerstone investments in ASX listed Aston Resources, Xanadu Mining and others; and the sale of Donaldson Coal to Gloucester Coal.
Origin Energy: advised on its $3.25 billion acquisition of the NSW energy retail assets of Country Energy and Integral Energy, as well as the gentrader rights in respect of the Eraring power station. We also advised Origin Energy on its innovative $2.3 billion entitlement offer and its €500 million hybrid issue. We advised Origin on its successful defence of the A$13 billion hostile takeover by BG Group plc.
Pacific National: advising Pacific National, a subsidiary of the ASX listed Asciano group, in the negotiation and preparation of innovative coal haulage agreements with Rio Tinto Coal Australia and Xstrata Coal, which supported Pacific National's entry into the Queensland coal haulage market. We also advised on the renegotiation of its NSW coal haulage arrangements with Xstrata Coal.
Talison Lithium Limited: advising on its merger with Salares Lithium Inc, pursuant to a Canadian plan of arrangement. The merger will combine Talison Lithium’s world class lithium minerals production in Australia with Salares’ prospective, large-scale lithium brines exploration projects in Chile.
