    AMP Limited: advised AMP in relation to its over A$14 billion merger with AXA Asia Pacific Holdings and the separation and sale of its Asian businesses to AXA SA - one of the largest completed Australian transactions of 2011 (2010/11).

    Barrick Gold Corporation: advised Canadian-based Barrick Gold Corporation on its approximately C$7.3 billion bid to acquire ASX and TSX listed Equinox Minerals Limited - one of the largest announced Australian transactions of 2011 (2011). More details: Barrick Gold bid gets a hand from Clayton Utz.

    Noble Group Limited: advising SGX listed Noble Group Limited, as 64.5% shareholder of Gloucester Coal Ltd, on the proposed merger between Gloucester and Yancoal Australia Limited, a wholly owned subsidiary of Yanzhou Coal Mining Company Limited (2011/12).

    Singapore Exchange Limited: advised Singapore Exchange Limited on its proposed merger with ASX Ltd by scheme of arrangement, valuing the merged entity at approximately A$16 billion (2010/11). More details: Clayton Utz advises Singapore Exchange on ASX merger deal.

    Sundance Resources Limited: advising ASX-listed international iron ore exploration and development company Sundance Resources Limited in relation to the proposed acquisition by scheme of arrangement of Sundance by China's Hanlong Mining Investments for over A$1 billion (2011/12).     Centro Retail Limited and Centro Retail Trust: acting as co-legal adviser to Centro Retail Limited and Centro Retail Trust in relation to the complex restructure of Centro Group (2011). More details: Clayton Utz advises on Centro Group restructure.

    Spotless Group Limited: advising Spotless Group Limited on the approach made by Pacific Equity Partners to acquire Spotless for over A$600 million (2011/12).

    ING Groep NV: advised ING Groep NV on the sale of its Australian investment management business, ING Investment Management Limited, to UBS for an undisclosed sum (2011).

    Origin Energy Limited: advised Origin Energy Limited on its successful A$3.25 billion bid for NSW energy retail assets, Country Energy and Integral Energy, as well as the gentrader rights in respect of the Eraring power station (2010/11).

    Queensland Government: advised on the sale of Queensland Motorways to the Queensland Investment Corporation (2011).

    Anvil Mining Limited: advising ASX and TSX listed copper producer Anvil Mining Limited in relation to the over A$1 billion takeover bid by Minmetals Resources Limited (2011/12). More details: Clayton Utz advises Anvil Mining on A$1.3 bn bid by Minmetals.

    Woolworths Limited: advised leading Australian retailer Woolworths Limited on various M&A transactions including, most recently, on its A$340 million acquisition of Cellarmasters and proposed acquisition of the businesses and assets of numerous hotels, via its subsidiary ALH Group (2011/12).

    Anatolia Minerals Development Limited: advised Canadian based Anatolia on its merger with Avoca Resources Limited, valuing the merged entity at around US$2 billion (2010/11).

    Bilfinger Berger: advised Bilfinger on the A$1 billion sale of its Australian construction business Valemus to Lend Lease (2010/11). More details: Clayton Utz congratulates parties on Valemus sale.

    Agrium Inc.: advised TSX and NYSE listed agricultural company Agrium on its over A$1 billion acquisition of AWB Limited by scheme of arrangement (2010).

    Australian Capital Equity and WesTrac Holdings Pty Ltd: acted on the formation of a new ASX-listed company, Seven Group Holdings, which acquired the WesTrac business and also acquired Seven Network Limited for a scrip for scrip exchange through a scheme of arrangement valued at A$1.8 billion (2010).

    New Forests: acted for investment management firm New Forests in relation to the acquisition of the timberland assets of Great Southern Plantations for a total purchase price of A$415 million (2010/11).     Tatts Group Limited: advised gaming and wagering company Tatts Group Limited on its purchase of NSW Lotteries Corporation from the State of New South Wales for A$850 million (2010).
