Derivatives / Debt

Our Derivatives group combines experts from across various product areas to provide an integrated service in relation to all aspects of derivatives, including structuring, distribution and regulatory and tax advice.

We advise on the full range of derivatives, including OTC derivatives relating to credit, equities, currencies, commodities, interest rates, property, energy, carbon, repos and stock lending, securitised derivatives including structured products, exchange traded derivatives and prime brokerage, and derivatives-based structured finance transactions including on- and off-balance sheet repackagings, CDOs and securitisations (whether cash or synthetic).  We also advise on credit support and margin products.

In the structured product area, our team offers an unrivalled depth and breath of experience at the cutting edge of structured products involving derivatives.  Working closely with a number of leading issuers, our specialist team has advised on all types of structured products and have been integrally involved in many of the significant developments in this area and in the development of legal structures underpinning many of the most popular and tax efficient products of recent years. Our experience traces back to our involvement in the original documentation of instalment warrants and covers just about every structure since.

In the OTC and structured finance area, our market leading team represents major banks and other market participants and end users in advising on all aspects of derivatives products and documentation for the wholesale derivatives market and structuring complex derivative-based structured finance transactions (including rating agency compliant derivatives) and developing areas, such as Islamic compliant derivatives.

Members of our team also bring international industry experience and have worked in numerous countries including Australia, Hong Kong, Japan, New Zealand, the United Kingdom and the United States.

Clayton Utz is committed to sustaining our ability to provide advice at the forefront of the financial markets by constantly monitoring developments in market practice, regulation and new products in the Australian and international contexts through our affiliations with industry organisations, including the International Swaps & Derivatives Association Inc. and the Australian Financial Markets Association.
